3. Client Obligations

Clients agree to provide necessary information, access, and cooperation required for service delivery. This includes but is not limited to project requirements, access credentials, and timely feedback.

4. Intellectual Property

Unless otherwise agreed in writing:

• Shoppeal Tech retains rights to methodologies and reusable components
• Clients receive rights to custom-developed solutions upon full payment
• Pre-existing intellectual property remains with its original owner

5. Confidentiality

We maintain strict confidentiality of client information and project details. Our team follows industry-standard security practices and signs NDAs when required.

6. Payment Terms

Payment terms are specified in individual service agreements. Standard terms include:

• Upfront payment for fixed-price projects
• Monthly billing for ongoing services
• Net 30 payment terms for enterprise clients

7. Limitation of Liability

Shoppeal Tech's liability is limited to the amount paid for services. We are not liable for indirect, consequential, or incidental damages.

8. Termination

Either party may terminate services with written notice as specified in the service agreement. Clients remain responsible for payment of services rendered.
